A straightforward purchase. No hidden subscription.
These terms apply when you purchase downloadable software supplied by Useful Software & Systems Limited through our website.
1. Who the parties are
Useful Software Company is a trading name of Useful Software & Systems Limited (“Useful Software”, “we”, “us” or “our”), company number 17469222, registered in England and Wales.
Our downloadable products are sold through Paddle. Paddle acts as the authorised reseller and Merchant of Record, so the payment transaction is between you and the Paddle entity identified at checkout and is also governed by Paddle's Buyer Terms. We remain the product supplier and grant the software licence under our Software Licence Terms.
These Terms of Sale apply only to pre-written downloadable software purchased through Paddle. Bespoke development, consultancy and other professional services are contracted separately and are not sold or processed through Paddle.
2. Eligibility and authority
You must be at least 18 years old or otherwise have legal capacity and authority to enter the transaction. If purchasing for an organisation, you confirm that you are authorised to bind that organisation. You must provide accurate checkout and delivery information.
3. Products, compatibility and trials
The relevant product page describes the software, supported operating systems, key features, limitations, licence scope and included updates. You are responsible for checking compatibility before purchase.
Where a free trial is offered, we strongly recommend using it before purchase. The Useful Course & Class Manager trial provides all features for seven calendar days from first launch, requires no payment card and stores its trial state locally.
4. Price, taxes and payment
Prices shown on our website are base prices unless expressly stated otherwise. Applicable VAT, sales tax or similar local tax is calculated and added by Paddle at checkout. The final total and currency are displayed before you submit payment.
Useful Course & Class Manager Version 1 is offered at a base price of £99 plus applicable taxes. This is a one-off purchase, not a subscription. Prices for future products may differ.
Payment methods, authorisation, receipts, fraud screening and tax collection are administered by Paddle.
5. Digital delivery and software licence
After confirmed payment, we normally send an email within a few minutes containing the installer link, a downloadable licence file and a copyable licence key. Delivery can occasionally be delayed by payment review, an incorrect email address, email filtering or a temporary technical problem.
If delivery has not arrived, check junk or spam folders and then contact hello@usefulsoftware.co with the Paddle transaction reference.
Purchase grants a licence to use the software; it does not transfer ownership of the software or its intellectual property. The product-specific Software Licence Terms form part of these terms.
6. Updates and support
For Useful Course & Class Manager, a Version 1 licence is perpetual and includes all released 1.x updates. A future Version 2 may be offered as a separate purchase or optional paid upgrade.
We provide reasonable best-effort email support and aim to give an initial response within two UK working days. This response target is not a guaranteed resolution time. Support requires a supported system and may require reasonable diagnostic information.
7. Cancellation, withdrawal and refunds
Digital purchases are generally non-refundable once delivered and made available for download or use, except where mandatory law applies or Paddle approves a refund. Nothing in these terms limits rights relating to faulty, misdescribed or inaccessible digital content.
Where the law permits immediate digital delivery only after consent and acknowledgement that a withdrawal right will be lost once downloading or use begins, that consent is collected during the transaction. See our Refund Policy and Paddle's policy for the complete process.
8. Our responsibility
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights.
If you are a consumer, we are responsible for foreseeable loss caused by our breach or failure to use reasonable care, but not loss that is not foreseeable or business loss. If you use the product for business purposes, to the fullest extent permitted by law our total liability relating to the product is limited to the amount paid for it, and we are not liable for indirect loss, lost profit, lost revenue, lost opportunity or loss caused by failure to maintain suitable backups.
Software cannot be guaranteed entirely error-free or suitable for every workflow. You remain responsible for reviewing outputs, protecting devices, controlling user access and maintaining current, tested backups.
9. Governing law, changes and contact
These terms are governed by the law of England and Wales. If you are a consumer, this does not remove mandatory rights or the protection of the courts available to you where you live. Business disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
The terms in force when you purchase apply to that transaction. We may update these terms for future transactions. If one provision is unenforceable, the remaining provisions continue.
