Software licence terms
One business. A lasting Version 1 licence.
These terms govern use of Useful Course & Class Manager Version 1. Installing, activating or using the software means you accept them.
1. Licence grant
Useful Software & Systems Limited grants the purchasing legal entity or sole-trader business a perpetual, non-exclusive, non-transferable licence to use Useful Course & Class Manager Version 1 for its own internal business purposes, subject to these terms.
The licence includes Version 1 and released updates numbered 1.x. It does not automatically include a future Version 2 or another major version.
2. Permitted business use
- You may install the software on multiple compatible computers controlled by the licensed business.
- The business's staff and contractors may use it for that business's internal work while acting under its authority.
- You may move or reinstall the licence when replacing a computer.
- You may create and use multiple database files.
- Separate databases may be used at the same time, but the same database must not be opened or edited on more than one computer at the same time.
3. Restrictions
Except where applicable law expressly permits it, you must not:
- share a licence key or licence file outside the licensed business;
- sell, rent, sublicense, lend or commercially host the software for another person or organisation;
- use one licence for a corporate group, franchisees, clients or separate legal entities;
- circumvent the trial, licence verification or technical protections;
- reverse engineer, decompile or modify the software; or
- remove copyright, attribution or proprietary notices.
Contact us if a merger, sale or reorganisation requires the licence to move to a different legal entity.
4. Your data and responsibilities
You own and control the information you enter. The software stores working data in local .uwm database files and does not upload those databases to us. You are responsible for lawful data collection and use, access permissions, device security, storage capacity, exports and regular tested backups.
You must review generated reports, calculations, reminders, messages and other outputs before relying on or sending them. The software assists administration; it does not provide accounting, tax, legal or professional advice.
5. Updates, compatibility and support
We may release Version 1 updates to correct defects, improve security or change functionality. We do not guarantee a particular update timetable or indefinite compatibility with operating systems, hardware or third-party services that change outside our control.
Reasonable best-effort email support is provided without a fixed Version 1 end date. We aim to give an initial response within two UK working days, but this is not a guaranteed resolution time.
6. Ownership and third-party components
The software, brand, documentation and all associated intellectual-property rights remain owned by Useful Software & Systems Limited or its licensors. This agreement grants permission to use the software; it does not sell or assign its source code or intellectual property.
The software includes third-party components governed by their own notices and licences. Current notices are supplied with the installation. Those third-party terms apply only to the relevant components and do not expand the licence to our proprietary software.
7. Termination
The Version 1 licence continues indefinitely unless terminated. It terminates if you materially breach these terms and fail to remedy a remediable breach after reasonable notice. On termination you must stop using the software and delete its licence key and installed copies. Termination does not transfer or delete your database files.
8. Warranties, liability and law
Mandatory consumer rights are not affected. Subject to those rights, software is supplied with the reasonable skill and care required by law but cannot be promised to be uninterrupted, entirely error-free or suitable for every individual workflow.
Nothing excludes liability that cannot lawfully be excluded. For business use, to the fullest extent permitted by law, our total liability arising from the software is limited to the amount paid for the licence, and we are not liable for indirect loss, loss of profit, revenue, opportunity or data, or loss that could reasonably have been avoided by maintaining suitable backups.
